Applies To: Jakten Platform and all licensed Platform modules, including Jakten Risk, Jakten Assurance, Jakten Quote, and future Jakten Platform modules, and Jakten AI subscriptions.
These Terms of Service ("Terms") govern your access to and use of services provided by Northland Ventures LLC, doing business as Jakten ("Jakten," "we," "us," or "our"), in connection with Jakten Platform, including subscription management, licensing services, Jakten AI, customer accounts, documentation, support resources, and related commercial services.
These Terms operate together with the Jakten Platform End User License Agreement ("EULA"). In the event of any conflict regarding software licensing or intellectual property rights, the EULA shall govern.
How Jakten processes data for AI features is described in the Jakten AI Data Processing Terms ("AI Terms"). Where these Terms and the AI Terms address the same subject for AI features, the AI Terms control for AI features only.
By purchasing a subscription, activating Jakten Platform, creating a customer account, or using any associated Jakten services, you agree to these Terms.
1. Commercial Services
Jakten provides commercial services supporting Jakten Platform, including but not limited to:
Subscription management
Software activation
Licensing and entitlement validation
Seat administration
Customer account management
Jakten AI subscriptions and the AI features of Jakten modules
Documentation
Software updates
Technical support resources
Future commercial services offered by Jakten
These services may evolve over time as Jakten Platform grows.
2. Customer Accounts
Certain commercial services require a Customer account.
The Customer is responsible for:
Maintaining accurate account information.
Protecting account credentials.
Managing authorized administrators and users.
Promptly notifying Jakten of unauthorized account access.
The Customer is responsible for all activities occurring under its account unless resulting from Jakten's negligence or security breach.
3. Commercial Subscriptions
Commercial use of Licensed Modules requires an active Subscription.
Each Subscription specifies:
Licensed organization
Licensed modules
Authorized Seat quantities
Subscription term
Applicable commercial entitlements
Certain Platform functionality may be unavailable if it is not included within the Customer's Subscription.
A Jakten AI subscription is a separate subscription, billed monthly. It may be purchased only by a Customer that holds an active paid Seat in at least one Licensed Module. Section 8 describes how it works.
Where Jakten and the Customer sign a separate written order, such as for an enterprise AI arrangement, that order governs the commercial terms it states, and these Terms govern everything else.
4. Billing and Payment
Subscription fees are billed in advance for each subscription term. Module Subscriptions are billed yearly and Jakten AI subscriptions are billed monthly, unless otherwise stated during checkout or in a signed order.
Unless otherwise stated during checkout, subscriptions automatically renew at the conclusion of each subscription term using the payment method on file.
Customers may cancel automatic renewal at any time before the renewal date. Cancellation prevents future renewal charges but does not affect the current subscription term.
The Customer manages billing itself. A company administrator does so in two places:
In Jakten Platform, on the Subscription and billing page: purchasing Licensed Modules and Seats, changing Seat quantities, purchasing a Jakten AI subscription or AI top-up, and requesting a refund.
In the customer portal of Jakten's payment provider, opened from that page: payment methods, invoices, billing details, canceling or resuming automatic renewal, and changing the Jakten AI tier.
Subscription prices do not include applicable sales, use, value-added, or similar taxes unless expressly stated. Applicable taxes will be calculated and presented during checkout where required by law.
Payment processing is performed by third-party payment providers. Jakten does not store complete payment card information.
5. Refund Policy
Initial Subscription Purchases
Jakten offers a fourteen (14) calendar day satisfaction guarantee for initial Subscription purchases made directly through Jakten. The day of purchase is the first of the fourteen days.
If the Customer requests a refund within fourteen (14) calendar days of the initial purchase date, Jakten will issue a full refund of the Subscription fee. Upon refund, associated software entitlements and commercial access may be terminated.
Seats added to a Licensed Module the Customer already holds are not an initial purchase and are not eligible for refund.
Subscription Renewals
The fourteen (14) day satisfaction guarantee applies only to the initial Subscription purchase.
Automatic renewal charges are not eligible for refund.
Customers are responsible for canceling automatic renewal before the applicable renewal date if they do not wish to renew their Subscription.
Jakten AI
AI credits pay for work Jakten has already bought from its AI provider, so the guarantee is narrower for Jakten AI:
The first payment of a Jakten AI subscription may be refunded within fourteen (14) calendar days of purchase only if no AI credits have been used.
An AI top-up may be refunded within fourteen (14) calendar days of purchase only while none of its credits have been used.
Later Jakten AI subscription payments are not eligible for refund.
If a refund ends the Customer's last paid Seat in any Licensed Module, the Customer's Jakten AI subscription is set to end at the close of its current billing period. The Jakten AI subscription itself is refunded only if it is eligible under this section.
Requesting a Refund
A company administrator requests a refund in Jakten Platform. Jakten reviews every request. If a request is approved, the refund is issued to the original payment method and the refunded license ends.
6. Failed Payments
If automatic renewal cannot be completed because payment authorization fails, Jakten may provide a reasonable grace period to allow the Customer to update payment information.
Failure to successfully complete payment may result in suspension or reduction of commercial functionality until payment has been resolved.
7. Subscription Changes
Customers may purchase additional Seats or Licensed Modules during an active Subscription term as permitted by Jakten's commercial offerings.
A reduction in Seat quantity takes effect at the next renewal. The Customer keeps the Seats already paid for until then, and the unused remainder of the term is not refunded.
An upgrade to a higher Jakten AI tier takes effect immediately. The difference for the rest of the billing period is charged at once, and the higher allowance applies once that charge is paid. A change to a lower tier, and a cancellation, take effect at the end of the current billing period.
If a Subscription is modified, Jakten may adjust commercial entitlements accordingly.
Future Subscription renewals may reflect updated pricing or purchased capacity.
Any changes to pricing for future Subscription terms will be communicated before the applicable renewal date.
8. Jakten AI
AI Terms. AI features are available to a Customer only after a company administrator accepts the AI Terms, and only for the modules whose schedules are part of the version accepted. A company administrator may withdraw that acceptance at any time, as the AI Terms describe.
Credits. AI features consume credits from the Customer's Jakten AI subscription. A credit measures the cost of the AI work performed. It is not money, has no cash value, and cannot be transferred, sold, or exchanged. The credits a given action uses depend on the work it performs and on the AI provider's prices when it runs. If those prices change, the credits used by the same work change from the date the new prices take effect, and never retroactively.
Monthly allowance. Each Jakten AI tier grants a number of credits for each billing period. Unused credits from the monthly allowance do not carry over to the next billing period.
Top-ups. An AI top-up is a one-time purchase of additional credits. Top-up credits are used only after the monthly allowance for the billing period is exhausted, and remain available until the Jakten AI subscription ends.
Limits. Jakten enforces each tier's monthly allowance and daily ceiling, and limits on individual requests, before any request is sent. A request that would exceed a limit is refused and uses no credits.
Internet connection. AI features require an internet connection to Jakten's AI gateway. Every other feature of a Licensed Module works without one after activation.
AI output. AI features propose and answer; a person decides. AI output can be incomplete or wrong. The Customer is responsible for reviewing AI output before relying on it, as set out in section 10 and in the AI Terms.
AI provider. Jakten provides AI features using models from Anthropic, PBC ("Anthropic"), which acts as Jakten's subprocessor for AI features. Jakten holds the account with Anthropic. The Customer has no separate agreement with Anthropic, and agrees to use AI features in compliance with Anthropic's Usage Policy as it applies to Jakten's use of Anthropic's services.
Availability. AI features may be paused for a Customer until a company administrator accepts a new version of the AI Terms, and may be unavailable for the reasons listed in section 11.
9. Seat Administration
Customer administrators are responsible for assigning and managing Seats within the limits of the Customer's Subscription.
If the number of assigned Seats exceeds the Customer's purchased entitlement following a Subscription change, Customers may be required to reassign or remove excess Seat assignments before additional assignments can be made.
Seat assignments may be subject to commercial licensing enforcement as described in the EULA.
10. Customer Responsibilities
Customer agrees to:
Provide accurate account information.
Maintain appropriate security for Customer systems.
Protect user credentials.
Comply with applicable laws and regulations.
Maintain appropriate backups of Customer Data.
Use Jakten Platform in accordance with the EULA and these Terms.
Customer remains solely responsible for all business, engineering, construction, estimating, scheduling, procurement, financial, contractual, and project decisions made using Jakten Platform, including decisions informed by AI output.
11. Availability of Services
Jakten makes reasonable efforts to maintain commercial services supporting Jakten Platform.
However, commercial services may occasionally be unavailable because of:
Planned maintenance
Security updates
Infrastructure failures
Third-party service interruptions, including interruptions at Jakten's AI provider
Circumstances beyond Jakten's reasonable control
Jakten does not guarantee uninterrupted availability of commercial services.
12. Third-Party Services
Jakten Platform may integrate with or rely upon third-party products or services, including payment processors and their customer portals, cloud infrastructure providers, AI model providers, authentication providers, email delivery services, mapping services, or future integrations.
Use of third-party services remains subject to the applicable third-party terms and privacy policies.
Jakten is not responsible for services provided solely by third parties.
13. Feedback
Customer may voluntarily provide suggestions, enhancement requests, feature ideas, bug reports, or other feedback regarding Jakten Platform.
Customer grants Jakten a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, incorporate, and otherwise utilize such feedback without compensation or obligation to the Customer.
Customer Feedback does not include Customer Data.
14. Suspension and Termination
Jakten may suspend commercial services or terminate a Subscription where reasonably necessary because of:
Material violation of the EULA, these Terms, or the AI Terms.
Fraudulent or unlawful activity.
Failure to maintain required Subscription payments.
Security concerns affecting Jakten or other Customers.
Compliance with applicable law.
Where reasonably practical, Jakten will provide notice before suspension.
15. Changes to these Terms
Jakten may update these Terms from time to time.
Material changes will become effective upon publication or another date specified by Jakten.
Where required, Customers may be asked to review and accept updated Terms before continuing to use commercial features of Jakten Platform.
16. Governing Law
These Terms shall be governed by the laws of the State of Missouri, United States, without regard to its conflict of law principles.
The parties consent to the exclusive jurisdiction of the state and federal courts located within Missouri for disputes arising under these Terms.
